Section 01

Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "you", or "your") and WebShield Solutions, a technology company registered in Kenya ("WebShield", "we", "us", or "our").

By engaging our services, placing an order, signing a proposal, or using our website at webshieldsolutions.co.ke, you confirm that you have read, understood, and agree to be bound by these Terms.

If you are entering into this agreement on behalf of a company or organisation, you represent that you have the authority to bind that entity to these Terms.
Section 02

Our Services

WebShield Solutions provides the following services:

  • Website design and development
  • Website maintenance and hosting support
  • Mobile and web application development
  • Custom system and software development
  • Hardware procurement and maintenance
  • Software installation, configuration, and support
  • IT consulting and digital strategy

The specific scope, deliverables, timeline, and cost of each project are agreed upon in a written Service Agreement or Project Proposal before work commences. These Terms apply to all such agreements.

We reserve the right to decline any project at our discretion without providing a reason.

Section 03

Payment Terms

Project-based work: Unless otherwise agreed in writing, payment is structured as follows:

  • 50% deposit required before work commences
  • 25% due upon delivery of the first major milestone
  • 25% final payment due upon project completion and delivery

Retainer / maintenance services: Monthly payments are due on the 1st of each month. A grace period of 7 days applies before services are suspended.

Late payments: Invoices not paid within 14 days of the due date will attract a late fee of 1.5% per month on the outstanding balance.

Refunds: Deposits are non-refundable once work has commenced. If WebShield terminates the project without cause, any unearned portion of fees will be refunded.

โš ๏ธ Important: All invoices are in Kenya Shillings (KES) unless otherwise agreed. For international clients, payment in USD or GBP may be arranged โ€” exchange rates apply at the time of invoice.
Section 04

Intellectual Property

Upon full payment, the Client owns all custom work created specifically for their project, including website designs, custom code, and written content we produced.

The following remain the property of WebShield Solutions regardless of payment:

  • Proprietary frameworks, tools, and code libraries we developed independently
  • Development methodologies and processes
  • Any work not fully paid for

Third-party assets (fonts, stock images, plugins, open-source libraries) are subject to their own licenses. We will inform you of any third-party licenses that require your attention.

We reserve the right to display completed projects in our portfolio and use them in marketing materials unless you request otherwise in writing.

Section 05

Client Responsibilities & Content

You agree to:

  • Provide accurate information, content, and materials required for your project in a timely manner
  • Designate a primary point of contact with authority to make decisions
  • Review and provide feedback within agreed timeframes (typically 5 business days)
  • Ensure all content, images, and materials you provide do not infringe third-party rights
  • Not use our services for any illegal, harmful, or unethical purpose

Project delays caused by the client's failure to provide materials, feedback, or payment may result in revised timelines and additional fees.

Section 06

Warranties & Disclaimers

WebShield Solutions warrants that services will be performed with reasonable skill and care, and that deliverables will materially conform to agreed specifications.

We provide a 30-day bug-fix warranty on all delivered projects. This covers defects in our work but does not cover:

  • Issues caused by client modifications after delivery
  • Third-party plugin or service failures
  • Hosting environment issues outside our control
  • New feature requests (these are billed separately)

Except as stated above, our services are provided "as is" without warranties of any kind, including guarantees of search engine rankings, business results, or revenue outcomes.

Section 07

Limitation of Liability

To the maximum extent permitted by Kenyan law, WebShield Solutions shall not be liable for:

  • Loss of profits, revenue, or business opportunity
  • Loss or corruption of data
  • Indirect, incidental, or consequential damages
  • Downtime or losses caused by third-party hosting, domain, or service providers

Our total liability for any claim arising from services shall not exceed the total fees paid by you to WebShield in the 3 months prior to the claim.

Section 08

Termination

By the Client: You may terminate a project at any time with 14 days written notice. You will owe payment for all work completed up to the termination date, plus a reasonable kill fee of 25% of the remaining contract value.

By WebShield: We may terminate services immediately if you breach these Terms, fail to pay invoices, or engage in conduct that is abusive, fraudulent, or illegal.

Effect of termination: Upon termination, we will deliver all completed work (once outstanding payments are settled). Access to our systems and tools will be revoked.

Section 09

Confidentiality

Both parties agree to keep confidential any proprietary information, business strategies, technical details, or trade secrets shared during the course of the engagement.

This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

This confidentiality obligation survives the termination of services for a period of 2 years.

Section 10

Disputes & Governing Law

These Terms are governed by the laws of the Republic of Kenya. Any disputes will first be attempted to be resolved through good-faith negotiation within 30 days.

If unresolved, disputes will be referred to mediation under the Nairobi Centre for International Arbitration (NCIA) rules. If mediation fails, disputes will be resolved in the courts of Kenya.
